FlowWeb Terms & Conditions 1. Definitions "FlowWeb" means FlowWeb and its officers, employees, and contractors. "Client" means any person or entity engaging FlowWeb for services. "Services" means all web design, development, consulting, hosting, or related services provided by FlowWeb. "Deliverables" means any work product produced by FlowWeb for the Client. 2. Acceptance By engaging FlowWeb or using our Services, the Client agrees to be bound by these Terms & Conditions. 3. Scope of Services The scope, timeline, and fees for Services will be set out in a proposal, statement of work, or written agreement. Any changes to scope require written approval and may incur additional fees. 4. Fees and Payment Unless otherwise agreed in writing, payment is structured as a 50% deposit before work commences and 50% upon completion or delivery of the Deliverables. Invoices are due by the date stated. FlowWeb may pause or withhold Services and Deliverables for overdue invoices. If payment is not received within 14 days of the due date, FlowWeb reserves the right to permanently delete all servers, hosting services, work product, and related data without further notice. All fees are exclusive of applicable taxes unless stated otherwise. 5. Acceptance of Terms on Payment By making any payment to FlowWeb, the Client acknowledges and agrees to be bound by these Terms & Conditions, as may be updated from time to time. 6. Client Responsibilities The Client shall provide timely access, information, content, approvals, and feedback necessary for FlowWeb to perform the Services. Delays caused by the Client may result in schedule and fee adjustments. 7. Intellectual Property Upon full payment of all outstanding fees, the Client is granted ownership of the final Deliverables, excluding any pre-existing materials, tools, or third-party components. FlowWeb retains the right to display non-confidential Deliverables in its portfolio and marketing. 8. Refunds Refunds are not provided for any fees paid, except where FlowWeb expressly agrees otherwise in writing. 9. Warranties and Disclaimers Services and Deliverables are provided "as is" and "as available". To the maximum extent permitted by law, FlowWeb disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. 10. Limitation of Liability To the maximum extent permitted by law, FlowWeb shall not be liable for any indirect, incidental, special, consequential, or punitive damages. FlowWeb's total liability for any claim arising out of or relating to the Services shall not exceed the total fees paid by the Client for the Services giving rise to the claim. 11. Termination Either party may terminate for material breach if the breach is not cured within a reasonable time after written notice. The Client remains liable for all fees incurred up to the effective termination date. 12. Confidentiality Each party shall keep confidential any non-public information received from the other party and shall use it only for the purposes of performing under these Terms. 13. Force Majeure FlowWeb shall not be liable for delays or failures caused by events beyond its reasonable control. 14. Governing Law These Terms & Conditions are governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales. 15. Changes to Terms FlowWeb may update these Terms & Conditions from time to time. The current version will be published on this page.
